The Victor Chang Cardiac Research Institute (the Institute) is dedicated to finding cures for cardiovascular disease and is one of the most respected heart research facilities in the world. Renowned for the quality of its breakthroughs, the Institute was established in 1994 and has grown to a team of almost 200 researchers from around the globe, working across five divisions. A global centre-of-excellence, it integrates Cardiac Physiology and Transplantation, Developmental and Stem Cell Biology, Molecular Cardiology and Biophysics, Structural and Computational Biology, as well as Vascular Biology. At the Institute, we rapidly translate our discoveries into new diagnostics, prevention and treatment of cardiovascular disease - reducing the incidence, severity and impact of heart disease.

The Operations Department directs, administers and coordinates the operational activities of the Institute including grants management, research governance and compliance, research integrity, facilities, business development, finance, operations, IT, fundraising, HR, WHS and Media & Communications.

Position Summary
The Governance and Legal Manager is the Institute’s primary legal advisor and is responsible for the provision of a broad suite of legal advisory and governance (both research and corporate) support.

Reporting to the Chief Operating Officer, the position will work closely with the Institute’s Faculty and Operations Managers on a broad range of matters. The role will also interact with a range of external stakeholders including UNSW, Sydney, our precinct partners (including the Garvan and St Vincent’s hospital), AAMRI, other MRI’s, external legal counsel and consultants.

At a high level, the Governance and Legal Manager will be responsible for:

  • Negotiating, drafting and reviewing contracts involving the Institute

  • Mitigation and management of corporate risk, including compliance

  • Management and implementation of the Institute’s policies and protocols

  • Advising on research integrity and research governance compliance

  • Advising on intellectual property issues and privacy obligations

Major Areas of Responsibility
Key duties and responsibilities of the Governance and Legal Manager include but are not limited to:
Governance and compliance – corporate governance and research governance

  • Advising on the application of, and updating where necessary, the Institute’s key corporate governance and risk management policies including Board Delegation of Authority, Risk Management, Conflicts, Whistleblower, Privacy and Data Breach, Crisis Management, as well as providing training on these policies.

  • Providing advice as required on all corporate governance issues, including application of the Institute’s Constitution and terms of reference of committees, and assisting in the application of the Institute’s risk management framework generally.

  • Maintaining, communicating, advising on, and monitoring compliance with the Institute’s research governance polices including the Institute’s Research Code of Conduct, and Policy for Managing and Investigating Potential Position Description Version 3.0 – November 2021 Page 2 of 3 Breaches of the Research Code of Conduct, as well as all associated guidelines covering authorship, publications and research data management.

  • Working with researchers to ensure compliance with ethics research obligations.
